Duties: Develop concepts and ideas for discussion materials to support client management initiatives. Generate and present various financial and strategic analyses and ideas in support of client initiatives. Maintain an active dialogue and lead meetings and discussions with several Oil and Gas clients across the value chain, including exploration and production, midstream, refining, oilfield services, and integrated multinationals, as well as financial sponsors that are contemplating or actively seeking investment opportunities and manage existing portfolio assets in the space. Manage workflow and drive execution processes in Mergers and Acquisitions (M&A) for both corporate and asset related acquisition and divestiture engagements, and debt and equity capital markets transactions, including debut issuances, follow-on offerings, and tenders. Oversee development of financial and valuation models. Drive execution on sell side M&A processes, including information memorandum, data room, buyer contact, management and board presentations contract negotiations. Manage buy side M&A processes, including valuation and related analyses for client and fairness/valuation committee, due diligence, and bid strategy. For capital markets transactions, supervise financial analyses, participate in drafting sessions, and prepare roadshow presentations and capital commitment committee memorandums. Serve as a central contact point on all transaction execution and responsible for coordinating between client team members, product partners, lawyers, accountants, reserve engineers and all other parties involved. Lead teams of 1 to 5 Associates and Analysts. Provide overall guidance and direction on scope of materials and financial models prepared by Associates and Analysts in support of client initiatives. Review materials and models and provide feedback to them to refine analyses and rectify errors. Support team and bank-wide initiatives including training and developing junior resources and recruiting and retaining top talent. This position does not supervise employees.
Minimum education and experience required: Bachelor’s degree or equivalent in Finance, Accounting, Business Administration, Economics, or related field, plus 6 years of experience in oil and gas investment banking, or related experience; OR Master’s degree or equivalent in Finance, Accounting, Business Administration, Economics, or related field, plus 3 years of experience in oil and gas investment banking, or related experience.
Skills required: Must have experience in oil and gas specific valuation techniques and complex financial modeling, including demonstrated understanding of: Net asset valuation (NAV) analysis in various corporate and asset structures, reserve report and single-well type curve analysis; Midstream Master Limited Partnership (MLP) modeling; Discounted cash flow (DCF) analysis of midstream, refining and oilfield services assets; Corporate and asset merger, cash flow modeling and accretion / dilution; Leverage buyout analysis, initial public offering (IPO) valuation, trading and precedent transaction comparables, contribution analyses, operational benchmarking; and US Oil and Gas tax treatment. Must have demonstrated knowledge of oil and gas industry trends, business drivers, constituents and operations across upstream, midstream, downstream, oilfield services and integrated sub-sectors. Must have experience executing oil and gas strategic transactions including mergers and corporate acquisitions, asset acquisitions and divestitures, joint ventures, and non-transaction strategic advice involving such topics as shareholder activism, dividend and capital structure policy. Must have experience executing oil and gas capital markets transactions including debt, leveraged finance and equity financings. Must have experience preparing client presentations, roadshow presentations, board materials, rating agency presentations and information memorandums. Must have experience extracting and interpreting relevant financial and operational information and utilizing Oil and Gas specific information resources.
